By accessing or using the Quadrel platform, applications, and related services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

1. License Grant & Access
   Subject to payment of applicable fees and compliance with these Terms, Quadrel grants you a limited, non-exclusive, non-transferable license to access and use the Services for your business operations. This license does not permit resale, sublicensing, or redistribution of the Services or their underlying software to any third party. Licensing entitles you to unlimited, nonconcurrent Quadrel
   web user logins, issued solely by Quadrel and usable from multiple workstations. Customers with SSO licensing retain the ability to control access within their identity provider. You are responsible for safeguarding credentials, configuring SSO and access controls, and immediately notifying us of any suspected unauthorized access. You are responsible for maintaining commercially reasonable
   security standards for endpoints and integrations.
   
   

2. Restrictions
   You may not: copy, modify, distribute, sublicense, or sell any part of the Services; reverse engineer or attempt to extract source code; write directly to the Quadrel database; use automated access tools without written permission; remove proprietary notices; upload or transmit malicious code; use the Services to store or transmit infringing or unlawful content; use the Services to develop competing
   products; or otherwise use the Services in violation of any applicable laws, rules, or regulations, including exports, sanctions, and privacy. A violation of these restrictions may result in an immediate revocation of access to and license to use the Services at Quadrel’s sole discretion without refund to you.
   
   

3. Intellectual Property
   All software, database structures, patents, trademarks, algorithms, UI designs, documentation, and improvements — including those developed from customer feedback — are the exclusive intellectual property of Quadrel LLC. By using the Services, you grant Quadrel an exclusive, worldwide, royalty-free license to use all feedback, including all suggestions, information, ideas, and insights proactively
   provided, to develop and improve the Services without restriction or compensation to you. Your data remains your property; the database structure is Quadrel's intellectual property. You represent that you have all necessary rights to submit your data into the Services. Training materials are confidential and for internal use only.
   
   

4. Fees, Payment, & Termination
   Fees are due in full in advance of each license period per your terms. Non-payment, after due notice, will void and deactivate affected licenses. Fees escalate annually per your agreement. Upon termination, you may export your data using Quadrel's built-in export tools and/or request assistance from Quadrel’s support staff. No refunds are issued for partial use or mid-period scope reductions
   including but not limited to decreases in plant licenses and users.
   
   

5. Support
   Subscriptions and maintenance fees include unlimited email, phone, and remote support as available; free maintenance packs and feature upgrades included; and full IT support for cloud-hosted installations. On-location training is available at additional cost and upon request. Support requests should be electronically mailed to [email protected].
   
   

6. Confidentiality & Governing Law
   Each party will keep the other's non-public information confidential unless otherwise agreed upon in writing. These Terms are governed by the laws of the Commonwealth of Pennsylvania, unless otherwise specified in a signed agreement. Disputes are subject to the exclusive jurisdiction of courts in Allegheny County, Pennsylvania, unless an alternative dispute resolution process is
   mutually agreed upon in writing.
