THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. QUADREL EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QUADREL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUADREL SHALL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED. QUADREL'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO QUADREL IN THE TWELVE (12)
MONTHS PRECEDING THE CLAIM.

Indemnification
Quadrel will indemnify and hold customer harmless from third-party claims arising directly from a malfunction of the Quadrel software caused solely by Quadrel's breach of its obligations — excluding malfunctions caused by third-party products or unauthorized modifications. You will indemnify Quadrel against claims arising from your violation of these Terms, applicable law, third-party rights,
or unauthorized modification of Quadrel's software or database.

Intellectual Property & Patents
Quadrel LLC holds multiple US patents covering key innovations and related batching efficiency technologies. All intellectual property (“IP”) in the Services remains exclusively owned or controlled by Quadrel, regardless of whether improvements arise from customer input or feedback. Nothing herein transfers any IP rights to you beyond the limited license granted in the Terms of Use.

Third-Party Software & Geographic Scope
Quadrel is not responsible for the performance or security of third-party systems integrated with the Services; misfunctions primarily caused by third-party products are excluded from Quadrel's warranties and indemnities and Quadrel shall have no liability to such extent. Third-party systems and services are governed by their own terms and conditions. The Services are available for
domestic and international use. Customers are responsible for compliance with all applicable local laws and regulations in their respective jurisdictions.

General
Quadrel may update these terms at any time. Material changes will be posted within the platform and reflected with an updated effective date. Continued use of the Services after changes are posted constitutes acceptance. Licensed customers may request to subscribe to Quadrel customer updates, new features, webinars, and other communications by emailing [email protected].

Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, governmental action, internet or telecommunications failures, or power outages.
